What We Are About

Broadmead Care is a vibrant non-profit health care provider in Victoria, BC, with a reputation for high quality care, innovation, and leading practices. Through five locations in the greater Victoria area, the organization provides a range of services including long term complex care and adult day programs for veterans and seniors, and long term complex care for younger adults with disabilities. We receive our funding through Island Health, Veterans Affairs Canada, BC Housing, and philanthropy.

As a non-profit society we are governed by a Board of Directors. The Board of Directors is the legal authority for Broadmead Care Society.

The Role

As a member of the Board, a Director acts in a position of trust for the community and is responsible for the effective governance of the organization. Board Directors are responsible to develop policies, procedures and regulations for the operation of the society; and to monitor the Society’s resources to meet the needs of those the Society serves.

Directors must exhibit:

  1. Duty of Care – Exercise the same degree of care that other reasonable, prudent individuals would exercise in the same circumstances. Act honestly and in good faith with the best interests of the organization in mind.
  2. Duty of Loyalty – Not profit as a result of being on the board of the organization. Not use the information learned in this role for their own benefit. Not be in a conflict position with respect to relationships of the organization and other entities. Put the interests of the organization before their own.
  3. Duty of Disclosure/Confidentiality – Disclose material information to those who need to know it. Keep information confidential and not disclose information to those who do not need to know.
  4. Duty to Comply with Statute – Comply with relevant legislation in the management of the organization. Know and understand of applicable legislation. Lack of knowledge of legislation is not a defence for noncompliance.

Your Commitment

Board Directors are appointed to a three-year term. During your term you are expected to:

  • Become knowledgeable about and commit to the work of the Society.
  • Adhere to the highest ethical standards by following the Board Code of Conduct.
  • Bring knowledge and skills in one or more areas of Board governance such as philanthropy, finance, legal, healthcare programs, communication, education, and leadership.
  • Be well prepared for and participate in all Board meetings and activities, including fundraising and community events, the Annual General Meeting, and Board Retreats.
  • Contribute to meetings by expressing a point of view, considering others’ points of view, making constructive suggestions, and helping the Board make decisions that benefit the Society.
  • Serve on committees and assume Board leadership roles when asked, including acting as a corporate spokesperson if the Board Chair delegates this responsibility.
  • Act as an ambassador for Broadmead Care Society. Promote and represent the Society to individuals, the public, other organizations, and prospective donors, including their circle of influence.
  • Keep the Chief Executive Officer informed about any client/family/community concerns.
  • Participate in fund development by making an annual donation to the capacity they are able (suggested range $1,000-$5,000 annually).
  • Note: Estimated time commitment is four to six hours per month in which there are Board and Committee meetings: eight Board Meetings per year (no meetings February, April, July, August, and December); four Committee meetings per year; Board Retreat and Board Education Day.
